{"id":118553,"date":"2023-09-27T17:21:39","date_gmt":"2023-09-27T15:21:39","guid":{"rendered":"https:\/\/www.daudscompetitioninstitute.com\/?p=118553"},"modified":"2023-09-27T18:20:49","modified_gmt":"2023-09-27T16:20:49","slug":"criminalisation-of-cartels","status":"publish","type":"post","link":"https:\/\/www.daudscompetitioninstitute.com\/index.php\/2023\/09\/27\/criminalisation-of-cartels\/","title":{"rendered":"Criminalisation of Cartels"},"content":{"rendered":"<hr \/>\n<p class=\"s6\"><span class=\"s4\">By <\/span>\u200b<span class=\"s4\">Cornwell Dauds<\/span><span class=\"s5\">*<\/span><\/p>\n<p class=\"s7\"><span class=\"s4\">1.<\/span>\u200b<span class=\"s4\">Following the lead of other jurisdictions, the South African government declared war on cartel practices by introducing section 73A to the South African Competition Act to criminalise hard-core cartel practices <\/span><span class=\"s4\">such as price-fixing, market division and collusion in tenders (bid rigging). Granted, cartel practices have worldwide been declared a most egregious offence which has no place in a sound economy and, for this very reason, most jurisdictions have imposed a<\/span><span class=\"s4\">n outright prohibition on these practices. This is because of the very harmful effect cartel practices have on consumers \u2013 they cause a rise in the prices of products and services (often a steep rise!).<\/span><\/p>\n<p class=\"s7\"><span class=\"s4\">2.<\/span>\u200b<span class=\"s4\">Until the introduction of section 73A, <\/span><span class=\"s4\">only admini<\/span><span class=\"s4\">strative sanctions in the form of fines ha<\/span><span class=\"s4\">d<\/span><span class=\"s4\"> been imposed on those firms found to have engaged in cartel practices. But it is the companies which end up paying these fines \u2013 not the directors or executive managers personally. <\/span><span class=\"s4\">With the aid o<\/span><span class=\"s4\">f section 73A <\/span><span class=\"s4\">, g<\/span><span class=\"s4\">overnment wishes to go after individuals by imposing <\/span><span class=\"s4\">criminal sanctions on the directors and executive managers of those companies that are found to have engaged in hard-core cartel practices. <\/span><span class=\"s4\">Government\u2019s<\/span><span class=\"s4\"> desire is to have these individuals criminally pro<\/span><span class=\"s4\">secuted, and upon conviction sentenced to a jail term. As a way of deterring cartel practices \u2013 which are harmful to consumer welfare \u2013 one could probably not fault <\/span><span class=\"s4\">Government\u2019s thinking<\/span><span class=\"s4\">.<\/span><\/p>\n<p class=\"s7\"><span class=\"s4\">3.<\/span>\u200b<span class=\"s4\">But what success does the <\/span><span class=\"s4\">South African government<\/span><span class=\"s4\"> expect to achi<\/span><span class=\"s4\">eve with t<\/span><span class=\"s4\">he criminalisation of cartels? For starters, i<\/span><span class=\"s4\">t is not easy to expose a cartel whose activities are typically kept secret<\/span><span class=\"s4\"> by cartel members<\/span><span class=\"s4\">. Competition authorities worldwide have long appreciated this difficulty, and for that very reason have re<\/span><span class=\"s4\">sorted to the use of what is known as the \u201ccorporate leniency policy\u201d to break the mould. They have offered cartel members \u2013 who have typically been sworn to secrecy by the cartel \u2013 leniency if they came forward and said \u201c<\/span><span class=\"s8\">mea culpa<\/span><span class=\"s4\">\u201d (I have done wrong), an<\/span><span class=\"s4\">d then immediately spill the beans on their co-cartel members. The South African competition authority has followed suit in implementing this leniency policy. In fact, most of the successful prosecutions of cartel practices have been obtained through the u<\/span><span class=\"s4\">se of the leniency policy \u2013 both here and in other jurisdictions. This policy allows \u201cturncoat\u201d cartel members to escape the full might of the law. To any member that invokes the leniency policy, it is about self-preservation. A cartel member will typicall<\/span><span class=\"s4\">y only make use of the leniency policy and confess if there is a suspicion that the competition authority is onto them, or if the cartel members had a fall-out, and one of the members considers it wise to move first and take advantage of the leniency polic<\/span><span class=\"s4\">y. Even so, without the corporate leniency policy, competition authorities would have found it incredibly difficult to successfully prosecute companies for cartel practices.<\/span><\/p>\n<p class=\"s7\"><span class=\"s4\">4.<\/span>\u200b<span class=\"s4\">With the introduction of section 73A to the Competition Act, the South African <\/span><span class=\"s4\">government moved <\/span><span class=\"s4\">to the next level <\/span><span class=\"s4\">by declaring its desire to impose not only administrative (i.e. monetary) sanctions on <\/span><span class=\"s4\">\u201cguilty\u201d <\/span><span class=\"s4\">companies, but also criminal sanctions <\/span><span class=\"s4\">on those <\/span><span class=\"s4\">individuals (directors and executive managers) <\/span><span class=\"s4\">found to have engaged in carte<\/span><span class=\"s4\">l practices. With a criminal prosecution comes a heavy burden of proof \u2013 guilt <\/span><span class=\"s4\">is required to be <\/span><span class=\"s4\">proved beyond a reasonable<\/span><span class=\"s4\"> doubt<\/span><span class=\"s4\">. <\/span><span class=\"s4\">Not an easy burden to overcome in competition cases.<\/span><span class=\"s4\"> Understandably, <\/span><span class=\"s4\">government<\/span><span class=\"s4\"> wants to discourage <\/span><span class=\"s4\">violations of section 4(1<\/span><span class=\"s4\">)(b) of the Competition Act \u2013 i.e. price-fixing, market division and bid rigging.<\/span> <span class=\"s4\">Government wants to discourage any <\/span><span class=\"s4\">dabbling in the cartel \u201ccancer\u201d by fighting the practice on two fronts \u2013 through administrative<\/span><span class=\"s4\"> (monetary)<\/span><span class=\"s4\"> sanctions and through criminal s<\/span><span class=\"s4\">anctions. But just how realistic is the criminal sanctions front? <\/span><\/p>\n<p class=\"s7\"><span class=\"s4\">5.<\/span>\u200b<span class=\"s4\">While the US have had some success with the criminal prosecution of cartel practices, other jurisdictions which have also introduced criminal sanctions have not been particularly success<\/span><span class=\"s4\">ful. The relative success in the US is largely attributable to the fact that that country\u2019s law enforcement institutions and procedures are uniquely suited to the criminal prosecution of cartel practices. For instance, United States\u2019 Department of Justice <\/span><span class=\"s4\">(DoJ) administers the leniency program and is also the prosecuting authority \u2013 it does not have to rely on another prosecuting authority to prosecute the individuals alleged to be involved in cartel activities. The US is thus able to co-ordinate the lenien<\/span><span class=\"s4\">cy program and criminal sanctions for violations of the law.<\/span><\/p>\n<p class=\"s7\"><span class=\"s4\">6.<\/span>\u200b<span class=\"s4\">By contrast, other jurisdictions \u2013 including South Africa \u2013 lack this co-ordination between the corporate leniency policy which allows cartel members to open up, and the prosecution of individ<\/span><span class=\"s4\">uals. While the leniency policy is administered by the competition authority, criminal prosecution is the responsibility of another authority (in South Africa, the National Prosecution Authority). This means the competition authority itself is not able to <\/span><span class=\"s4\">offer individuals (directors and executive managers) a lesser sentence, or immunity, in exchange for co-operation.
